Terms of Service

These Terms of Service ("Terms") govern your access to and use of peerbasis.org and the analyses and reports it produces (the "Service"), operated by Prismind Analytics LLC ("PeerBasis," "we," or "us"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Not legal, tax, or financial advice. PeerBasis provides compensation benchmarking data and document templates for nonprofit-board and business-owner compensation reviews, including IRC 4958 and IRC 162 contexts. PeerBasis is not a law firm, accounting firm, or compensation consultant, and using the Service does not create any professional, advisory, or attorney–client relationship. You should consult your own qualified legal and tax advisors before relying on any output for a compensation decision or tax filing.

1. The Service

PeerBasis assembles nonprofit peer comparisons from public IRS Form 990 filings and business-owner wage benchmarks from BLS OEWS data, with BEA price-level adjustments where disclosed. Reports may include methodology, factor worksheets, and suggested documentation language. The user and their qualified advisers—not PeerBasis—are responsible for deciding whether compensation is reasonable, deductible, or otherwise compliant.

2. Data accuracy; "as is"

Source figures come from IRS Form 990 filings, the IRS Business Master File, BLS OEWS wage estimates, and BEA Regional Price Parities. Source data can contain errors, omissions, suppressed estimates, reporting-period differences, revisions, or classifications that do not fit a user's facts. Nonprofit role classifications are derived from free-text titles; an occupation code and any price-level adjustment are proxies rather than individualized local evidence. The Service and all reports are provided "as is" and "as available," without warranties of any kind, express or implied, including accuracy, completeness, fitness for a particular purpose, or non-infringement. You are responsible for reviewing comparables and exercising independent judgment.

3. Payment, delivery, and refunds

Paid reports are offered at the price displayed at checkout (currently a $49 nonprofit Board Packet — free when the disclosed filing-size measure is under $500k — and a $19 reasonable-compensation memo for business owners) and are processed by Stripe. Because reports are digital and generated on demand, all sales are final once a report is generated, except where required by law. If a report fails to generate due to a technical error on our part, contact us at hello@peerbasis.org and we will regenerate it or refund the purchase.

4. License and acceptable use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service and to use reports you purchase for your own organization's internal governance, tax-record, and compliance-support purposes, including sharing them with your board or professional advisers. You agree not to:

scrape, crawl, or bulk-download the Service or its underlying database except via features we provide;
resell, redistribute, sublicense, or build a competing dataset or product from the Service's output;
misrepresent a report's contents or remove attributions, methodology, or disclaimers;
use the Service unlawfully or in a way that burdens or disrupts it.

5. Intellectual property

The underlying IRS data is public. The Service's software, design, methodology, compilation, and report formatting are owned by Prismind Analytics LLC and protected by applicable laws. These Terms grant you no rights in our trademarks or branding.

6. Disclaimer of warranties

To the fullest extent permitted by law, we disclaim all warranties, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any analysis will be accepted by the IRS or any court or authority.

7. Limitation of liability

To the fullest extent permitted by law, PeerBasis and Prismind Analytics LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, taxes, penalties, or excise taxes, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the report giving rise to the claim (or the applicable report price if no payment was made).

8. Indemnification

You agree to indemnify and hold harmless PeerBasis and Prismind Analytics LLC from claims arising out of your use of the Service or your violation of these Terms.

9. Governing law

These Terms are governed by the laws of the United States and the State in which Prismind Analytics LLC is organized, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located there.

10. Changes; termination

We may modify these Terms or the Service at any time; changes take effect when posted with an updated date. We may suspend or terminate access for any user who violates these Terms.
